These Terms of Service (“Terms”) govern access to and use of the Synqora platform, website (synqora.live), and related services (collectively, the “Service”), operated by FlagShip Digital LLC(“Synqora,” “we,” “us”). By creating an account, signing an order form, or using the Service, you (“Customer,” “you”) agree to these Terms. If you are accepting on behalf of a company, you represent that you have authority to bind that company.
Synqora is a catalog intelligence platform for distributor-sourced commerce. The Service ingests product data feeds from wholesale distributors you are authorized to work with, enriches and organizes that data, applies pricing and compliance rules you configure, and publishes and synchronizes product listings to your connected e-commerce store (currently Shopify). The Service also provides related capabilities such as order visibility, catalog health monitoring, and reporting.
2.1 Business use only. The Service is offered to businesses and business users. You must be at least 18 years old and able to form a binding contract.
2.2 Account security. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly at support@synqora.live of any unauthorized use.
2.3 Accurate information. You agree to provide accurate account, billing, and store-connection information and to keep it current.
3.1 Authorized connections. You represent that you are authorized to connect each store and each distributor account you link to the Service, and that your use of distributor data complies with your agreements with those distributors.
3.2 Your products and content. You are solely responsible for the products you choose to sell, the accuracy and legality of your listings, pricing decisions (including compliance with MAP and other distributor policies), and compliance with the laws applicable to your business and product categories, including any age-restriction, labeling, or marketing requirements.
3.3 Platform rules. Your use of connected platforms (e.g., Shopify) and payment providers remains subject to their own terms. Synqora is not responsible for actions those platforms take with respect to your store.
The Service uses artificial intelligence to generate or enhance product content (such as titles, descriptions, tags, and SEO fields). AI output may contain errors. Depending on your settings, AI content is staged for your review or applied automatically. You are responsible for reviewing and approving content published to your store, regardless of the enrichment mode you select. Synqora does not warrant that AI-generated content is accurate, complete, or non-infringing.
5.1 Plans. The Service is offered on subscription plans with usage parameters (such as SKU limits, distributor connections, and user seats) described at purchase. Plan details and pricing may change; changes apply at your next renewal with prior notice.
5.2 Billing. Fees are billed in advance on a recurring basis (monthly unless otherwise agreed) via our payment processor (Stripe). You authorize recurring charges to your payment method until you cancel.
5.3 Cancellation. You may cancel at any time from your billing settings or by contacting support. Cancellation takes effect at the end of the current billing period; the Service remains available until then. Except as described in Section 5.4 or required by law, fees are non-refundable.
5.4 Guarantee. If we offer a money-back guarantee for your plan (for example, a 30-day guarantee for founding customers), its terms will be stated in your order or on our pricing page and will control.
5.5 Taxes. Fees exclude taxes. You are responsible for applicable sales, use, VAT, or similar taxes, other than taxes on our income.
5.6 Non-payment. We may suspend the Service for accounts with overdue balances after reasonable notice.
6.1 Your data.“Customer Data” means data you submit to the Service or that the Service retrieves on your behalf, including distributor feed data, store product data, and order data from your connected store. As between the parties, you own your Customer Data.
6.2 Our license. You grant us a limited license to host, process, transmit, and display Customer Data solely to provide, maintain, secure, and improve the Service and as otherwise permitted by our Privacy Policy.
6.3 Privacy. Our collection and use of personal information is described in the Synqora Privacy Policy. For personal information contained in your store's order data (such as your customers' names and shipping details), we act as a service provider/processor on your behalf and process it only to provide the Service.
6.4 Aggregated data. We may use de-identified and aggregated data derived from use of the Service (which does not identify you, your customers, or your suppliers) to operate and improve the Service.
You will not: (a) use the Service to violate law or third-party rights; (b) attempt to probe, breach, or circumvent security or access data of other customers; (c) resell, sublicense, or provide the Service to third parties except as expressly permitted; (d) reverse engineer or copy the Service or use it to build a competing product; (e) upload malicious code or interfere with the Service's operation; (f) misrepresent your authorization to connect a store or distributor; or (g) use the Service to extract, scrape, or bulk-export enriched content for use outside a store you operate, other than through features we provide.
The Service, including its software, design, and documentation, is owned by FlagShip Digital LLC and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription for your internal business purposes. Feedback you provide may be used by us without restriction. Content generated by the Service for your catalog and published to your store may be used by you in connection with operating your store.
The Service interoperates with third-party services (such as Shopify, Stripe, distributor systems, and AI providers). We are not responsible for third-party services, their availability, or their handling of your data under their own terms. Feed formats and platform APIs change; we work to keep integrations current but do not guarantee uninterrupted compatibility.
We aim to keep the Service available and performant but do not guarantee uninterrupted availability. We may modify features from time to time; if we materially reduce core functionality of your plan, you may cancel and receive a pro-rata refund of prepaid, unused fees for the affected period. Support is provided via support@synqora.live during business hours (US Eastern).
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT DISTRIBUTOR DATA, AI-GENERATED CONTENT, PRICING CALCULATIONS, OR SYNCHRONIZATION WILL BE ERROR-FREE, AND YOU REMAIN RESPONSIBLE FOR WHAT IS PUBLISHED TO AND SOLD FROM YOUR STORE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR DATA; AND (b) OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE FEES YOU PAID TO US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. THESE LIMITS DO NOT APPLY TO YOUR PAYMENT OBLIGATIONS, EITHER PARTY'S INDEMNIFICATION OBLIGATIONS, OR LIABILITY THAT CANNOT BE LIMITED BY LAW.
You will defend and indemnify us against third-party claims arising from: (a) your products, listings, or store operations; (b) Customer Data or your use of distributor data in violation of your agreements; or (c) your violation of law or these Terms. We will defend and indemnify you against third-party claims that the Service, as provided by us and used as permitted, infringes their intellectual-property rights, with customary exclusions (e.g., combinations, modifications, Customer Data).
These Terms apply while you use the Service. Either party may terminate for material breach not cured within 30 days of notice. We may suspend the Service immediately for security risks, unlawful use, or non-payment. Upon termination, your right to use the Service ends; upon request within 30 days, we will make your exportable Customer Data available, after which we may delete it per our retention practices. Sections that by their nature should survive (including 5, 6.4, 8, 11–13, 15–16) survive termination.
These Terms are governed by the laws of the State of Florida, without regard to conflicts-of-law rules. The state and federal courts located in Pinellas County, Florida will have exclusive jurisdiction, and each party consents to venue there. Each party waives trial by jury to the extent permitted by law.
These Terms, together with any order form and the Privacy Policy, are the entire agreement regarding the Service and supersede prior discussions. We may update these Terms; material changes will be notified (e.g., by email or in-app) and apply on your next renewal or 30 days after notice, whichever is later. If any provision is unenforceable, the remainder stays in effect. Neither party is liable for delays caused by events beyond its reasonable control. You may not assign these Terms without our consent, except to a successor in a merger or asset sale; we may assign to an affiliate or successor.
